- "Agreement" — These Terms together with any signed engagement letter or service agreement.

- "Deliverable" — Any written report, analysis, or documented output produced by the Company.

By using this website or engaging our services, you agree to these Terms. If you do not accept them, please refrain from using the website or engaging us.
Our services are intended for organisations and individuals aged 18 or above with legal capacity to enter binding agreements. By proceeding, you confirm that this applies to you.

Service Description
Selat Advisory provides business consulting services focused on the Malaysian maritime and trade sectors. Current service offerings include Maritime Industry Consulting, Trade Corridor Analysis, and Port City Business Advisory.
Specific scope, deliverables, timeline, and fees for each engagement are set out in a separate engagement letter agreed between the parties before work begins. Nothing on this website constitutes a binding offer of services.
We serve clients across Malaysia. Geographic restrictions may apply in certain circumstances; these will be discussed at the enquiry stage.

When using our website or engaging our services, you agree to:

Deliverables produced for a client engagement are subject to the ownership and usage terms set out in the relevant engagement letter. Unless otherwise agreed, the Company retains copyright in all deliverables, granting the client a non-exclusive licence for their own internal use.
Section 6
Payment Terms
Fees for each engagement are stated in the engagement letter and denominated in Malaysian Ringgit (MYR). Standard payment terms are outlined below; variations may be agreed in writing.
- A deposit is typically required before work commences
- Remaining fees are invoiced at agreed milestones or on project completion
- Invoices are payable within 14 days of issue unless otherwise agreed
- Late payments may attract interest at the rate provided under applicable Malaysian law
In the event that an engagement is cancelled by the client after commencement, fees for work completed to that point remain payable. The applicable proportion will be calculated based on the agreed scope and work done.

Consulting Engagement Terms
The following applies to all consulting engagements:
- Scope changes requested by the client after commencement may affect fees and timeline
- Where site visits or document access are required, the client is responsible for facilitating these
- Timelines stated in engagement letters are indicative; delays caused by client-side factors will extend the timeline accordingly
- Written deliverables represent our considered observations based on information available at the time
- Confidentiality provisions governing each engagement are set out in the relevant engagement letter

Disclaimers
The website and its contents are provided on an "as is" basis. While we take care to keep information current, we do not warrant that website content is complete, accurate, or free from error at any given time.
Our advisory work represents our professional observations and measured considerations. It does not constitute legal, financial, regulatory, or investment advice. Clients are encouraged to seek specialist professional advice before making decisions based on our work.
We do not commit to specific business outcomes. Results depend on many factors outside our control, including market conditions, regulatory changes, and client implementation.
Section 9
Limitation of Liability
To the extent permitted by Malaysian law, Selat Advisory's total liability to any client in connection with an engagement shall not exceed the fees paid for that engagement.
We are not liable for indirect, incidental, or consequential losses, including loss of profit, business opportunity, or data, even if we were aware of the possibility of such losses.
Nothing in these Terms excludes liability for fraud, personal injury caused by negligence, or any other matter that cannot lawfully be excluded under Malaysian law.
Force majeure events — including natural disasters, government action, or other circumstances beyond reasonable control — may affect our ability to deliver services on agreed timelines without giving rise to liability.
Section 10
Termination
Either party may terminate an engagement by providing written notice as specified in the engagement letter. On termination:
- Fees for work completed to the point of termination remain payable by the client
- Confidentiality obligations survive termination
- Any deliverables produced and delivered remain subject to the IP terms in Section 5
We reserve the right to suspend or terminate access to our website for any user who misuses it in a manner inconsistent with these Terms.
Section 11
Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first seek resolution through direct discussion in good faith.
If direct resolution is unsuccessful within 30 days, disputes may be referred to mediation through the Asian International Arbitration Centre (AIAC) in Kuala Lumpur before resorting to litigation.
Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Section 12
General Provisions
Entire Agreement: These Terms, together with any engagement letter, constitute the complete agreement between the parties and supersede any prior understandings.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
No Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
Section 13
Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after a change constitutes your acceptance of the revised Terms. For active engagements, material changes will be communicated directly.
